JOB DESCRIPTION:

Job Title : Head of Legal/General Manager – Legal Services / Group Legal Counsel

Primary Purpose : Responsibility for Legal & Company Secretarial Departments of Group Companies.

Accountability/Reporting to : Group Chief Executive

Authority : Oversees the staff of Legal & Corporate Secretarial Departments and coordinates with the outsourced legal services providers in jurisdictions outside the Kingdom of Bahrain to deliver the organizational objectives.

JOB RESPONSIBILITIES:

    • Overall responsibility for the Legal, Corporate Secretarial, Compliance and Governance functions and strategic support to Group Chief Executive.
  • Illustrative elements of deliverables (non-exclusive) of the function controlled:
      • Responsible for all legal & corporate secretarial functions.
      • Responsible for legal compliance covering the applicable laws and regulations.
      • Responsible for obtaining the required licenses, permits and approvals required for the operations and renewing then from time to time.
      • Advisory support covering legal, corporate secretarial and strategic matters.
      • Negotiating and finalizing various types of documentation including but not limited to JV Agreements, MOUs, LOIs, NDAs, SPAs, SHAs, Project specific agreements for construction, purchase, technology transfer, services etc., commercial contracts including sales contracts, agency agreements, etc.
      • Negotiating and obtaining insurance cover, in alignment with the top management’s directive and philosophy on risk management.
      • Managing litigation for and against the Group Companies including engaging external legal counsel wherever appropriate and coordinating with them to achieve organizational objectives.
      • Advisory support to the various functions on various operational matters.
      • Advisory support to the top management and various functions on efficient corporate governance.
      • Coordination of meetings of Shareholders and Board of Directors of the Group Companies and in the compilation of presentations to the Shareholders and Board of Directors.
      • Attending the meetings of Shareholders and Board of Directors of the Group Companies, preparing the minutes of the meetings etc.
      • Assist the Managing Director, Director, and Group Chief Executive Officer in strategic initiatives in M&A, new projects, investments, acquisition, and expansion activities.
  • Others:
      • General advisory and strategic support to the Board of Directors and Chief Executive.
      • Support and assist the Group Chief Executive at the Board Meetings and Shareholders’ Meetings.
